1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and the Western Balkans Fund ("WBF", "we", "us", or "our") concerning your access to and use of the WBF Partnership Hub platform ("Platform" or "Service").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Represent an organization operating in the Western Balkans region or working on regional projects
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Platform, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account

3.2 Account Verification

We reserve the right to verify the information you provide and may request additional documentation to confirm your organization's legitimacy and eligibility.

3.3 Account Termination

We may suspend or terminate your account if you violate these Terms, provide false information, or engage in prohibited activities. You may also request account deletion at any time by contacting us.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Platform to:

• Search for and connect with partner organizations
• Share information about partnership opportunities
• Collaborate on regional projects
• Access resources and information provided by WBF

4.2 Prohibited Activities

You agree NOT to:

• Post false, misleading, or fraudulent information
• Impersonate another person or organization
• Engage in spam, unsolicited advertising, or commercial activities
• Upload viruses, malware, or harmful code
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Scrape, copy, or download user data without permission
• Interfere with the proper functioning of the Platform
• Violate any applicable laws or regulations
• Post content that is discriminatory, defamatory, or offensive
• Use the Platform for political campaigning or lobbying

5. Intellectual Property Rights

5.1 Platform Content

The Platform and its content, features, and functionality are owned by WBF and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

5.2 User Content

You retain ownership of the content you post on the Platform ("User Content"). By posting User Content, you grant WBF a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your content for the purpose of operating and promoting the Platform.

5.3 User Content Responsibility

You are solely responsible for your User Content and warrant that you have all necessary rights to post it. You agree that your User Content does not violate any third-party rights or applicable laws.

6. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in accordance with GDPR and other applicable data protection laws.

By using the Platform, you consent to the data practices described in our Privacy Policy.

7. Third-Party Links and Services

The Platform may contain links to third-party websites or services. WBF is not responsible for the content, privacy policies, or practices of third-party sites. You access third-party sites at your own risk.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Platform will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of information on the Platform

We do not guarantee the success of any partnerships formed through the Platform.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WBF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Platform
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of the Platform
• Any bugs, viruses, or the like that may be transmitted through the Platform
• Any errors or omissions in any content or information
• Any partnerships or collaborations formed through the Platform

10. Indemnification

You agree to indemnify, defend, and hold harmless WBF, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content
• Your use of the Platform

11. EU Funding Acknowledgment

This Platform has been developed with the co-funding of the European Union under the project "Support to the Promotion of Civil Society Regional Actions in the Western Balkans" (Phase II) (CN 2023/449-078).

The content of this Platform is the sole responsibility of WBF and does not necessarily reflect the views of the European Union.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on the Platform
• Updating the "Last updated" date
• Sending email notifications for significant changes

Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.

13. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the Platform will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimer of warranties, limitation of liability, and dispute resolution.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Albania and the regulations of the European Union, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Tirana, Albania.

15. Dispute Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at info@westernbalkansfund.org. We will work in good faith to resolve the matter within 30 days.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WBF regarding the Platform and supersede all prior agreements and understandings.
